Выплата денег кредитору компании или улучшение его положения каким-то другим путем, в то время как компания оказалась не в состоянии платить долги. Если это происходит в результате действий компании в течение шести месяцев после ее ликвидации (или двух лет, если преимущества предоставляются лицу, связанному с компанией), в суде может быть возбуждено дело об аннулировании сделки. Суд может принять любое решение по своему усмотрению, но не может затронуть права третьей стороны, которая вступила во владение собственностью, не будучи осведомленной о преференции.
